Agreement & Engagement Scope
These Terms of Service ("Terms") define the commercial relationship between you ("Client", "you", or "your organization") and GODIGITAL Studio ("GODIGITAL", "we", "us", or "our"). By accessing our website (https://godigital.agency), requesting a project quote, or commissioning an engagement via an approved proposal or Statement of Work (SOW), you agree to these Terms.
If you enter into this agreement on behalf of a company, business, or other legal entity, you confirm that you have the requisite authority to bind that entity to these Terms.
Agency Services & Deliverables
GODIGITAL provides custom digital design, software engineering, and technical advisory services, including:
Workflow, Milestones & Revisions
Engagements follow a structured, phased methodology to maintain quality and keep projects on schedule:
Scoping & Architecture
We align on deliverables, technical requirements, content structure, milestones, and project timelines.
Design & Prototyping Review
We create and review Figma layouts and prototypes. Feedback and revision rounds are conducted before coding begins.
Engineering & Staging Review
Custom development is deployed to a private staging environment for functional testing and client review.
QA, Launch & Asset Transfer
Cross-browser checks, Core Web Vitals validation, DNS cutover to production, and full asset/repository handoff.
Client Responsibilities & Assets
To ensure a successful and timely project delivery, the Client agrees to:
- • Timely Feedback: Provide constructive feedback and approvals for milestone deliverables within a reasonable timeframe (typically within 5 business days).
- • Access & Credentials: Provide necessary access (e.g., DNS manager, web hosting control panel, CMS accounts, third-party API keys) in a secure manner.
- • Content Rights & Licensing: Ensure that all copy, imagery, brand assets, product data, and media provided to GODIGITAL are owned by you or that you possess appropriate commercial licenses for their use.
Intellectual Property & Ownership
Upon receipt of full and final payment for all agreed project milestones or invoices, the Client owns 100% of all custom source code, Figma design files, custom graphics, database schemas, and tailored software scripts created specifically for the project. All relevant code repositories and deployment assets are transferred upon completion.
Open-Source & Third-Party Dependencies: Underlying open-source software, frameworks, and libraries (e.g., Astro, React, Tailwind CSS, WordPress core, Gutenberg, PHP, NPM packages) remain governed by their respective open-source licenses (MIT, Apache, GPL, etc.).
Portfolio Display: Unless a formal Non-Disclosure Agreement (NDA) or confidentiality clause specifies otherwise, GODIGITAL reserves the standard right to showcase non-confidential project designs, screenshots, and case summaries within our professional portfolio.
Fees, Invoicing & Refund Policy
Project fees are structured transparently based on agreed project packages, milestones, or monthly service retainers:
- • Milestone Invoicing: Fixed-scope projects typically require an initial deposit upon project kick-off, with the balance structured across agreed delivery milestones and staging completion prior to final launch.
- • Monthly Retainers: Retainers and ongoing maintenance plans are invoiced at the beginning of each billing period.
- • Payment Terms: Invoices are payable within 14 calendar days of issuance via supported payment channels (e.g., bank transfer, Stripe, Razorpay).
- • Refund Policy: Due to the custom, labor-intensive nature of custom design and software engineering, initial deposits and fees paid for completed work or accepted milestones are non-refundable once work has commenced. For future unstarted phases, engagements may be cancelled in accordance with our termination terms.
Post-Launch Warranty & Support
We stand behind the quality of our custom engineering:
Post-Launch Bug Fix Warranty
Projects include a dedicated post-launch warranty period as specified in the agreed project tier or proposal (such as 30 days for Starter packages or extended support for Growth plans). During this warranty period, GODIGITAL will promptly fix any functional bugs, responsive styling errors, or regressions in our delivered custom code at no additional cost.
Warranty Limitations: The warranty applies to custom code created by GODIGITAL. It does not cover issues resulting from external hosting outages, breaking changes in third-party APIs, unauthorized modifications made to the codebase or CMS plugins by the Client or third parties, or new feature requests outside the agreed project scope.
Third-Party Platforms & Subscriptions
Web projects frequently connect with third-party software, such as web hosting providers, domain registrars, payment gateways (Stripe, Razorpay), AI endpoints (OpenAI), automation tools (n8n, Make), and premium plugins.
- • Client Accounts: Unless explicitly arranged otherwise in writing, the Client maintains direct accounts, billing, and software licenses for third-party hosting, domains, APIs, and commercial software.
- • Service Availability: GODIGITAL is not responsible for outages, rate limit modifications, pricing adjustments, or platform policy changes instituted by third-party providers.
Disclaimers & Limitation of Liability
We deliver engineering and design according to modern web standards, rigorous testing, and documented best practices. The following terms govern liabilities and expectations:
Confidentiality & Non-Disclosure
Both parties agree to protect proprietary and confidential information disclosed during the engagement, including business strategies, technical architectures, client data, and pricing arrangements.
If your project involves sensitive trade secrets or unannounced product details, we readily execute mutual Non-Disclosure Agreements (NDAs) prior to detailed discovery.
Termination & Governing Law
Either party may terminate an active project upon fourteen (14) days written notice. In the event of early termination, the Client agrees to pay for all work performed and milestone progress achieved up to the effective date of termination. Upon receipt of payment, GODIGITAL will promptly deliver all work-in-progress deliverables.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles, unless otherwise specified in an executed client agreement.
